1. Provider
ORYES Software, operated by ORYES Software at L2,19,R.M.COLONY,7TH CROSS,DINDIGUL, TAMIL NADU, INDIA, provides billing, POS, reporting, inventory, service-management and related software (“Services”).
2. Eligibility
You must be legally capable of entering a binding agreement. If acting for a business, you confirm authority to accept these Terms and must provide accurate registration and contact information.
3. Licence
After successful payment, ORYES grants a limited, non-exclusive, non-transferable and revocable right to use the selected Software during its active validity for the registered business, branches, counters and users permitted by the plan. The Software is licensed, not sold.
4. Restrictions
You must not copy, resell, sublicense, reverse engineer, bypass activation, share access with unauthorised persons, interfere with security, misuse customer data, or use the Services unlawfully.
5. Plans and Pricing
Daily, monthly, yearly or custom plan prices and included features are displayed before payment. Prices may change prospectively without reducing already-paid validity. Applicable taxes are charged where required. Unless expressly stated, renewals are customer-initiated and non-recurring.
6. Payments
Payments may be processed by PhonePe Payment Gateway or another authorised provider. Activation occurs only after ORYES receives verified successful-payment confirmation. Pending, failed, cancelled or timed-out transactions do not activate a plan. ORYES does not request or store UPI PINs, CVVs, OTPs or banking passwords.
7. Validity
If an existing plan is active, purchased duration is ordinarily added after its current expiry. If expired, duration ordinarily starts from successful payment or activation. Access may be restricted automatically after expiry, chargeback, security risk or material breach.
8. Dealers
Dealers may assist with sales, installation and support but cannot alter these Terms, promise unsupported features, request banking secrets or provide unofficial payment instructions. Dealer commissions are internal arrangements and do not change the displayed customer price unless disclosed.
9. Customer Responsibilities
You are responsible for account security; lawful, accurate data entry; device, printer and internet compatibility; checking invoices and tax settings; and keeping appropriate exports or backups where available.
10. Data and Privacy
Personal data is handled as described in our Privacy Policy. You must have authority to enter employee, customer and transaction data into the Software.
11. Availability and Changes
ORYES aims for reliable service but does not guarantee uninterrupted or error-free operation. Maintenance, hosting, connectivity, banks, payment networks, operating systems and third-party changes may affect availability or features. Reasonable updates may be made for security, compatibility and legal compliance.
12. Intellectual Property
Software, source code, documentation, designs, names and logos remain the property of ORYES or its licensors. No ownership right transfers to the customer.
13. Refunds
Cancellation and refund eligibility is governed by our separate Cancellation and Refund Policy. Nothing excludes non-waivable rights under applicable law.
14. Disclaimer and Liability
The Services assist business operations and are not legal, tax, accounting or financial advice. To the maximum extent allowed by law, ORYES is not liable for indirect or consequential losses. Aggregate liability relating to a paid plan will not exceed fees paid for that plan during the twelve months before the relevant event, except where law does not permit such limitation.
15. Termination
ORYES may suspend or terminate access for expiry, non-payment, chargeback, fraud, unlawful use, security threats or material breach. Stopping use does not automatically create a refund entitlement.
16. Governing Law
These Terms are governed by Indian law. Parties should first seek resolution through ORYES support. Subject to mandatory consumer rights, courts having jurisdiction over the registered office of ORYES will have jurisdiction.
